Poste Italiane's bid for Telecom Italia cleared by regulator and TIM board

Italy’s financial regulator Consob has formally approved the public offer (Opas) launched by Poste Italiane to acquire Telecom Italia (TIM). The tender period will run from 20 July to 11 September 2026, a standard 40‑day window, with a possible five‑day extension in late September.

TIM’s board of directors voted unanimously to endorse the offer, describing the consideration – €1.67 in cash plus 0.218 newly‑issued Poste ordinary shares for each TIM share – as financially fair and consistent with the group’s strategic path. The board will not revise its industrial plan until the transaction is completed and will publish consolidated Q2 and first‑half 2026 results on 29 July.

The deal, valued at roughly €13‑14 billion, would increase Poste’s stake from about 27 % to a controlling interest in the country’s largest telecom operator, paving the way for a merger and potential delisting of TIM shares.
