Prologis launches $15 million‑share stock offering to fund Segro acquisition

Prologis, Inc. announced an underwritten public offering of 15 million shares of common stock, with J.P. Morgan and BofA Securities as underwriters and a 30‑day option to purchase up to an additional 2.25 million shares for overallotments. The net proceeds will be contributed to the company’s operating partnership for general corporate purposes, including funding a potential acquisition of UK warehouse landlord Segro.

Segro later agreed to a takeover by Prologis in a deal valued at up to £14.3 billion (about $19.2 billion). The offer consists of 0.0920 Prologis shares per Segro share, a cash alternative of up to £3.5 billion, and a potential final dividend, giving Segro shareholders roughly 8.9% of the combined group. The transaction represents a 42% premium to Segro’s closing price before the offer and brings the combined market capitalisation of the two firms to over $152 billion. Investor pressure from APG Asset Management, Norges Bank and CCLA Investment Management was cited as a key driver. Following the announcement, Prologis shares fell 2.31% in U.S. trading, while Segro shares rose about 1.4% but remained below the agreed takeover price.
