Tera Group continues Pusula Finans acquisition amid executive legal issues
The planned acquisition of Pusula Finans Holding and its subsidiaries by Tera Group is proceeding despite legal developments involving Pusula executives. Tera Group has confirmed that the strategic and financial terms of the takeover remain unchanged and that the recent news is independent of the corporate structures of the target companies.
Legal actions have been taken against key figures in the Pusula Group. The Istanbul Chief Public Prosecutor's Office has issued an arrest warrant for Muhammet Yarız, Chairman of Pusula Portföy, and placed restrictions on his assets and bank accounts. Reports indicate Yarız may have fled to Greece by boat from Marmaris. Additionally, Serdar Turhan, Chairman of Pusula Holding and Katılımevim, has been issued a travel ban and has resigned from his positions at Katılımevim.
In response to these leadership changes, Katılımevim has appointed Emre Tezmen and Erkan Kilimci to its board, with Tezmen assuming the role of Chairman. The acquisition process is currently awaiting necessary approvals from regulatory bodies, including the Capital Markets Board (SPK) and the Banking Regulation and Supervision Agency (BDDK).
