EQT to acquire Qiagen in €10.8 billion takeover

Swedish financial investor EQT has reached an agreement to take the molecular testing company Qiagen private through a recommended, all-cash voluntary public takeover offer. The bid, made via the takeover vehicle Crown NL Bidco B.V., offers €46.50 per share.

The transaction values Qiagen at approximately €10.8 billion, including roughly $1.1 billion of net debt. The deal includes participation from co-investors, specifically a wholly owned subsidiary of the Abu Dhabi Investment Authority (ADIA) and CPP Investments.

Qiagen’s management and supervisory boards have expressed full support for the transaction and have agreed to unanimously recommend that shareholders accept the offer. The offer is subject to a minimum acceptance threshold of 50 percent of the outstanding share capital plus one share, as well as customary merger control and foreign investment clearances. Closing of the deal is expected in mid-2027.
