QNB Corp. prices common stock offering and announces Nasdaq uplisting
QNB Corp., the parent company of QNB Bank, has priced an underwritten public offering of 1,071,428 common shares at $42.00 per share. The company expects net proceeds of approximately $42.3 million after underwriting discounts and commissions, though this figure excludes other operating expenses. Underwriters have a 30-day option to purchase an additional 160,714 shares at the same price.
The company intends to use the net proceeds for general corporate purposes. Potential uses include funding new loans, supporting capital ratios, supporting continued growth, redeeming a portion of subordinated notes, and restructuring its balance sheet by repositioning a portion of its available-for-sale fixed income securities portfolio.
QNB Corp. is also set to begin trading on the Nasdaq Capital Market under the symbol ‘QNBC’ on August 20, 2026. Brean Capital, LLC is serving as the lead book-running manager for the offering, with Performance Trust Capital Partners, LLC acting as the joint book-running manager.
