Raiffeisen Bank International crosses 55.5% threshold in Addiko takeover bid

Raiffeisen Bank International (RBI) announced that shareholders have accepted its offer for 10,703,509 shares of Addiko Bank, representing 55.5 % of the total share capital and just above the minimum 55 % threshold required for the bid to succeed. The result remains provisional because shareholders can still withdraw their earlier acceptances before the legal deadline at 17:00 on Thursday, 23 July, after a revised competing offer from Nova Ljubljanska banka (NLB) was published on 17 July. RBI’s lead is narrow—only half a percentage point above the required level—so the final outcome depends on the decisions of large investors. The Serbian Alta Group holds 1,878,167 shares (9.63 % of Addiko) and has committed to support RBI’s offer as part of a broader arrangement that would see Addiko’s subsidiaries in Serbia, Bosnia‑Herzegovina and Montenegro sold to Alta after the acquisition. RBI plans to retain Addiko’s operations in Croatia and Slovenia, while the four banks outside the EU would be carved out and sold to Alta at market value.
