Raízen calls assembly to vote on R$ 35 billion capital reduction
Raízen has convened an Extraordinary General Meeting for October 30 to vote on critical measures for implementing its extrajudicial recovery plan. A primary item on the agenda is a proposed reduction of the company's social capital by up to R$ 35 billion. This operation involves delivering securities issued by Raízen Energia to shareholders in the same class and proportion as their current holdings.
Additional proposals include increasing the authorized capital limit to up to 200 billion shares, a move intended to facilitate the capital increase outlined in the recovery plan approved by the São Paulo Court in June. The assembly will also deliberate on the removal of current Board of Directors members and the election of a new board consisting of seven titular and seven substitute members.
Furthermore, preferred shareholders will hold a specific assembly to vote on the creation of Class B preferred shares. If approved, these would hold the same economic rights as current preferred shares, which would then be redesignated as Class A with restricted voting rights. These measures aim to strengthen the company's financial structure and governance.
