Real Brokerage to Acquire RE/MAX Holdings in $880 Million Deal
Real Brokerage Inc. announced a 30% revenue increase to $700.6 million for the second quarter and highlighted progress toward its pending acquisition of RE/MAX Holdings, Inc. The $880 million transaction, announced in April, will combine Real’s technology‑driven brokerage platform with RE/MAX’s global franchise network under a new holding company, Real Remax Group Inc.
Under the merger agreement, RE/MAX shareholders may receive either $13.80 in cash or shares of the new entity, with total cash payouts capped between $60 million and $80 million. The deal is expected to close in the second half of 2026, subject to shareholder approval at special meetings scheduled for August 14, 2026. The U.S. Department of Justice recently granted early termination of the antitrust waiting period, clearing a major regulatory hurdle.
Real Brokerage reported a net loss of $8 million, including $11.6 million in acquisition costs, but posted adjusted EBITDA of $27.6 million and held $86.6 million in cash with no debt. The company’s CEO Tamir Poleg and COO Jenna Rozenblat said they anticipate $30 million of cost synergies within three years after closing.
