Red Cat Holdings launches takeover bid for Steyr Motors

US-based drone and robotics manufacturer Red Cat Holdings, through its subsidiary SMOT Acquisition GmbH, has announced a voluntary public cash offer to acquire all shares of the Austrian company Steyr Motors. The offer price is set at 39 euros per share, valuing the company at approximately 205 million euros. This price represents a nearly 29 percent premium over the share price prior to the announcement.

Steyr Motors has entered into a binding merger agreement with Red Cat. The offer is subject to the tender of at least 50 percent plus one share and requires regulatory approvals, including investment control clearances in Austria, Italy, Australia, and the United Kingdom. The B&C Group, which holds nearly 15 percent of the shares, has already agreed to accept the offer. The acceptance period is expected to end on December 18, 2026, with completion anticipated in the first half of 2027.
