Rejlers and Multiconsult to merge into pan-Nordic consultancy group

Technical consultancy firms Rejlers and Multiconsult have agreed to a cross-border merger of equals to form a new pan-Nordic multidisciplinary group named Multiconsult Rejlers. The combined entity will have approximately 8,000 employees and a market capitalization of around 8 billion SEK.

Under the merger plan, Multiconsult shareholders will receive 0.9725 Rejlers class B shares for every Multiconsult share held. This results in a 54 percent ownership stake for Multiconsult shareholders and 46 percent for Rejlers shareholders. The new group will be dual-listed on Nasdaq Stockholm and Euronext Oslo Børs, with its headquarters located in Stockholm and a main office in Oslo.

The merger is expected to generate annual cost synergies of between 100 and 120 million SEK within three years, primarily through optimizations in IT, procurement, administration, and office networks. Integration costs are estimated at approximately 40 million SEK.

Viktor Svensson, the current CEO of Rejlers, will serve as Group CEO, while Kristin O. Augestad, the interim CEO of Multiconsult, will become Deputy CEO. The Rejler family and the Multiconsult Foundation will remain significant long-term owners.
