Fox Corp to acquire Roku in $22 billion cash‑stock deal
Fox Corporation announced a cash‑and‑stock acquisition of streaming platform Roku valued at roughly $22 billion. The transaction values Roku at $160 per share – $96 in cash and 0.9693 shares of Fox Class A stock – and is expected to close in the first half of 2027, subject to shareholder and regulatory approval. Upon completion, Fox shareholders will own about 73 % of the combined company while Roku shareholders will hold the remaining 27 %. The deal gives Fox access to Roku’s platform that reaches more than 100 million streaming households and generates $613 million in advertising revenue for the first quarter of 2025. Fox will add Roku’s operating system, devices and ad‑tech to its portfolio of live sports, news, entertainment, Tubi and the new Fox One streaming service. Analysts project cost synergies of roughly $400 million a year. Roku founder and CEO Anthony Wood will remain with the business and join Fox’s board. Fox CEO Lachlan Murdoch called the transaction a “defining moment” that creates the third‑largest TV viewer entity in the United States.
