Ruag MRO restructuring proposal sent to Swiss Parliament

The Swiss Federal Council has approved a proposal to restructure the state-owned defense company Ruag MRO into a special-law joint-stock company. This move aims to tighten management and meet evolving security policy requirements, following a successful consultation process.

Under the proposed legal framework, the company would transition from its current private law status to a model similar to Swiss Post, SBB, and Swisscom. The restructuring includes new governance measures, such as mandatory disclosure of interests for board members and the ability for the government to dismiss members in cases of irreconcilable conflicts of interest.

To ensure military readiness during crises, the law would allow essential personnel to be reassigned to military units. Additionally, the proposal introduces explicit protections for whistleblowers and limits the government's extraordinary right of instruction to the specific purpose of ensuring army equipment availability, preventing its use for general industrial policy.
