Salerno Court clarifies distinction between alternative and facultative obligations

The Court of Salerno, labor section, has issued ruling number 1234 on June 30, 2026, to clarify the legal distinction between alternative and facultative obligations. This ruling, supported by established precedents from the Court of Cassation, defines how the parity of performances or their subordination fundamentally alters legal effects in cases of non-performance or impossibility.

In an alternative obligation, two or more performances are established from the outset on an equal footing. These options are presented disjunctively, meaning a definitive choice must be made before any performance can be executed. Once a choice is communicated to the counterparty, it becomes irrevocable.

In contrast, a facultative obligation involves only one primary performance that is due. While the debtor has the option to discharge the obligation by performing a different, secondary task, that secondary task remains subordinate to the original requirement. Understanding these distinctions is critical for managing legal disputes and determining liability when one of the possible performances becomes impossible to fulfill.
