Samland to lose public company status after ownership concentration
Sacom Real Estate Joint Stock Company (Samland) is proceeding to cancel its public company status following a significant shift in its ownership structure. The decision follows a transaction valued at approximately 22.1 billion VND on September 19, 2025, in which Huỳnh Đức Thanh acquired an additional 2,210,236 shares via a negotiated agreement.
This transaction increased Mr. Thanh’s ownership from 2.79% to approximately 5.6%, making him a major shareholder. Consequently, his holdings are no longer counted toward the minority shareholder group. Combined with SAM Holdings, these two entities now control 91.31% of voting shares, leaving 624 other shareholders with only 8.69%.
Under regulations, companies with a contributed charter capital of 30 billion VND or more must ensure that at least 10% of voting shares are held by at least 100 non-major investors. Because Samland no longer meets this threshold, the Board of Directors has approved the closing of the shareholder list as of September 23, 2025, to initiate the delisting of SLD shares from the UPCoM market.
