Sanara MedTech shareholders approve MiMedx acquisition
Sanara MedTech shareholders have officially approved a merger agreement with MiMedx. During a special meeting, 6,372,989 shares voted in favor of the transaction, representing 69.78 percent of the outstanding shares.
Under the terms of the deal, MiMedx will provide $33.00 in cash per Sanara MedTech share, supplemented by 0.4735 MiMedx shares for each Sanara share. This combination of cash and stock creates a dual valuation structure for investors.
The approval serves as a major milestone, though the transaction remains subject to closing conditions. Following a re-filing with the U.S. Federal Trade Commission (FTC), a new 30-day Hart-Scott-Rodino (HSR) waiting period has commenced, which is scheduled to expire on October 15, 2026, unless extended or terminated earlier.
