Sanlam to acquire Santam in R16 billion takeover bid
Sanlam has launched a bid to take full ownership of Santam, South Africa’s largest general insurer, in a deal valued at approximately R16 billion. Sanlam, which already owns 62.7% of Santam through Sanlam Life, has offered R505 in cash for each of the remaining ordinary shares.
The offer represents a 26.6% premium over Santam’s closing price on 2 October 2026. If the transaction is successful, Santam will become a wholly owned subsidiary of Sanlam and will be delisted from the Johannesburg Stock Exchange (JSE), the Namibia Securities Exchange (NSX), and A2X.
The acquisition is being implemented through a scheme of arrangement under the South African Companies Act. Completion is subject to regulatory approvals, an independent expert review, and approval by at least 75% of the voting rights exercised by eligible Santam shareholders. The transaction has a longstop date of 31 March 2027, which may be extended to 1 October 2027.
