Sazerac to acquire German Berentzen Group for 5.55 euros per share

US spirits giant Sazerac has entered into a business combination agreement to acquire the German Berentzen Group. Sazerac intends to launch a voluntary public cash takeover offer of 5.55 euros per share, which represents an approximately 68 percent premium over the volume-weighted average share price of Berentzen over the three months prior to September 16, 2026.

The Berentzen Group, known for brands such as Apfelkorn and Puschkin Vodka, has expressed strong support for the deal. Executive Board members Oliver Schwegmann and Ralf Brühöfner stated that the merger offers an “outstanding opportunity” to leverage Sazerac’s capital for innovation, sales, and international expansion.

The transaction is subject to a minimum acceptance threshold of 50 percent plus one share. If successful, Sazerac plans to delist Berentzen from the Frankfurt Stock Exchange. The completion of the takeover is expected in the fourth quarter of 2026.
