SB Energy files for Nasdaq IPO targeting $5-7 billion raise

SB Energy, a SoftBank-majority-owned power and data center developer, has filed for a US IPO on Nasdaq under the ticker SBE, targeting a raise of $5 billion to $7 billion. The company is positioning itself as a critical provider of AI infrastructure, reporting a contracted data-center backlog valued between $400 billion and $439 billion.

To secure OpenAI as an anchor tenant, SB Energy issued warrants that were valued at approximately $3.6 billion in January 2026 and rose to an estimated $5.5 billion by the end of June 2026. OpenAI has also invested $500 million in the company and is expected to hold a single-digit percentage stake following the IPO.

Nvidia is also heavily involved in the company’s growth, committing $3 billion through a $1.5 billion private placement and a $1.5 billion forward contract. Additionally, Nvidia has provided up to $105 billion in residual-value guarantees for the PORTS-Pike Technology Campus in Ohio, which is intended to host OpenAI’s computing capacity.

Despite its massive backlog, SB Energy reported a net loss of approximately $3.21 billion for the first half of 2026, a figure largely driven by the increased valuation of its warrant liabilities to OpenAI.
