Schneider Electric to acquire PTC for $22.6 billion

Schneider Electric has entered into a definitive agreement to acquire the US-based industrial software company PTC Inc. for approximately $22.6 billion in cash. The deal, which values PTC's equity at $22.6 billion and the total enterprise value at $23.7 billion, represents a 42.3% premium over PTC's previous closing price.

This acquisition is the largest in Schneider Electric's history and is a strategic move to bolster its industrial artificial intelligence and software capabilities. By integrating PTC's engineering and product design data with Schneider's operational and energy data, the company aims to create a unified 'digital thread' to support the next generation of industrial AI.

To fund the purchase, Schneider Electric expects to raise up to €17 billion in debt and issue up to €6 billion in new shares. The company anticipates achieving €250 million in annual cost synergies by the third year and approximately €800 million in revenue synergies. The transaction is expected to close by the third quarter of 2027, pending regulatory approvals and PTC shareholder consent.
