Schneider Electric to acquire PTC for $22.6 billion

Schneider Electric has announced its largest acquisition to date, agreeing to purchase U.S.-based industrial software specialist PTC for $22.6 billion in equity, representing a 42.3% premium. The deal, which includes debt, aims to integrate PTC’s 3D-CAD, product lifecycle management, and cloud platforms into Schneider’s existing energy management and automation portfolio.

Following the announcement, Schneider Electric’s stock experienced a significant correction, losing approximately 14.6% of its value and wiping out roughly €15 billion in market capitalization. Investors have expressed concerns regarding the scale of the transaction and the financing structure, which involves issuing between €5 billion and €6 billion in new shares alongside €16 billion to €17 billion in debt.

The acquisition is intended to create a continuous digital information flow from design to maintenance, providing context for industrial AI. Post-merger, software and services are expected to account for approximately 24% of Schneider’s group revenue. The transaction is expected to close in the third quarter of 2027, subject to shareholder and regulatory approval.
