SEC issues new guidance on crypto token buybacks and staking
The SEC Division of Corporation Finance has issued new staff guidance clarifying the regulatory status of various crypto-related activities. The guidance, released via FAQs on September 25, focuses on how the Howey test is applied to digital assets, particularly regarding whether certain actions constitute essential managerial efforts.
Key clarifications include the treatment of token buybacks and network maintenance. For functional crypto networks, the SEC staff indicated that token buybacks and ongoing activities such as security work, software upgrades, and development grants generally do not constitute the managerial efforts required to classify a token as a security. However, if a buyback is marketed as a way to generate yield or returns on a non-functional network, it may still be viewed as an investment contract.
The guidance also addresses staking receipt tokens. These may be classified as digital tools if they serve as proof of ownership for an underlying digital commodity, or as digital commodities themselves if issued by a protocol-based liquid staking provider.
Separately, following the failure of the CLARITY Act in the Senate, the CFTC and SEC have taken independent steps to provide regulatory clarity. The CFTC has updated its own FAQs regarding blockchain technologies and tokenized investments, while the SEC introduced an Innovation Exemption to allow for the conditional trading of tokenized stocks in permissioned environments.
