Seer Inc. Faces Securities Fraud Probe as Shareholders Submit Acquisition Offer

Shareholder rights litigation firm Schall, Brown & Schwartz LLP announced an investigation into Seer Inc., alleging the company may have issued false or misleading statements and failed to disclose material information to investors. The firm is inviting affected shareholders to join the action.

Separately, Bradley L. Radoff and Michael Torok, together holding about 7.7% of Seer’s shares, submitted a further improved, non‑binding proposal to acquire 100% of the company. The offer values Seer at $2.55 per share in cash, representing a 51% premium to the unaffected price, and includes a contingent value right that could provide additional upside. The proposers urged Seer’s special committee to conduct an auction to prevent further value destruction.
