Shell completes acquisition of ARC Resources

Shell plc has finalized its acquisition of ARC Resources Ltd., an energy company operating in Alberta and British Columbia, Canada. The deal follows the receipt of all necessary shareholder, court, and regulatory approvals.

The acquisition is intended to increase Shell’s exposure to low-cost liquids production and adds approximately 370 kboe/d in liquids and gas. This move supports a projected production compound annual growth rate of roughly 4% through 2030. Shell CEO Wael Sawan noted that the integration aims to leverage technical expertise in Canada’s Montney basin.

Under the terms of the agreement, ARC shareholders receive CAD $8.20 in cash and 0.40247 Shell ordinary shares for each ARC common share. The transaction carries an updated equity value of approximately US$13.9 billion, with an enterprise value of roughly US$16.5 billion including net debt and leases. The equity portion is funded through US$3.3 billion in cash and US$10.6 billion in new Shell shares.
