Shell to acquire full ownership of Tri Star Energy
Equilon Enterprises LLC, operating as Shell Oil Products US, has reached an agreement to increase its equity stake in Tri Star Energy, LLC, from 33% to 100%. Tri Star Energy is a fuel distributor and convenience store operator based in Nashville, Tennessee, serving the southeastern United States.
Through this acquisition, Shell will gain full ownership of 320 fuel and convenience retail sites across Tennessee and neighboring states. Additionally, the deal includes supply agreements for 552 dealer-owned locations. Following the transaction, Tri Star Energy will be operated by Texas Petroleum Group LLC, a subsidiary of Shell Mobility & Convenience US LLC.
The move is part of Shell’s broader strategy to reallocate capital toward high-performing markets and strengthen its company-owned presence in the United States. Shell currently maintains the largest branded fuel network in the US, serving over 7 million customers daily. The acquisition is expected to close by the end of 2026, pending regulatory approval and standard closing conditions.
