Silgan and American Industrial Partners to acquire Trivium Packaging

Silgan Holdings and private equity firm American Industrial Partners (AIP) have agreed to acquire Trivium Packaging in a deal valued at approximately $3.4 billion, including debt. The transaction is expected to close by mid-2027, subject to regulatory approvals.

The acquisition aims to expand Silgan’s footprint in Europe and reorganize its operations into two distinct segments. The first segment, Silgan Metal Containers and Closures (Silgan MCC), will combine Trivium’s recyclable packaging business with Silgan’s existing metal container and closure operations. Under this structure, Silgan will hold a 60% controlling stake, while AIP will invest approximately $1 billion for a 40% stake.

The second segment, Silgan Dispensing Solutions, will focus on dispensing systems and custom containers and will remain wholly owned by Silgan. The deal also facilitates the exit of Ardagh Group, which will sell its 42% stake in Trivium. The combined metal packaging entity is projected to be valued at $7.3 billion.
