Skyworks completes merger with Qorvo

Skyworks has completed its combination with Qorvo, forming a larger U.S.-based semiconductor company focused on high-performance radio frequency (RF), power management, and analog technologies. The combined entity will continue to operate under the Skyworks name and remain listed on the Nasdaq under the ticker symbol SWKS.

Under the terms of the merger, former Qorvo shareholders receive $32.50 in cash and 0.960 Skyworks common shares for each share owned. Legacy Skyworks shareholders retain approximately 63% ownership of the combined company, while former Qorvo shareholders hold roughly 37%.

The company expects to achieve at least $500 million in annual cost savings following full integration, which is projected to take 24 to 36 months. The merger significantly expands Skyworks’ technical capabilities, bringing together approximately 8,000 engineers and a portfolio of more than 12,000 issued and pending patents. This expansion targets markets including mobile devices, physical AI, defense, aerospace, data centers, and automotive applications, positioning the firm to meet growing demand for 5G-Advanced and 6G technologies.
