Spencer Spirit Holdings to Acquire Hot Topic Portfolio for $350 Million

Spencer Spirit Holdings, the parent company of Spencer’s, Spirit Halloween and Spirit Christmas, announced it will purchase Hot Topic and its associated brands BoxLunch and Her Universe from private‑equity firm Sycamore Partners for an estimated $350 million. The price is roughly half of the $600 million Sycamore paid for Hot Topic in 2013, reflecting the decline in mall‑anchored retail. The combined portfolio will give Spencer Spirit a footprint of more than 3,000 stores across North America, spanning alternative‑culture apparel, pop‑culture gifts and seasonal merchandise.

Hot Topic, BoxLunch and Her Universe will continue to operate independently and retain their California headquarters. CEO Steve Vranes will stay in his role, reporting to Spencer Spirit CEO Steven Silverstein. The transaction is subject to customary closing conditions and regulatory approvals and is expected to close in the third quarter of the year.
