Sweden implements changes to 3:12 tax rules for private companies

New regulations regarding the 3:12 tax system for closely held companies in Sweden came into effect on January 1, 2026. These changes primarily affect how the threshold amount is calculated, which determines the portion of dividends or capital gains that can be taxed at an effective rate of 20 percent.

According to Fredrik Benson of Ålandsbanken, while the rules remain complex, the intended purpose of the updates is to simplify and modernize the system. When planned correctly, these changes may allow some entrepreneurs to see a significant reduction in their tax burden, despite ongoing uncertainty and misconceptions regarding the new framework.
