Taiwan Mobile launches NT$29.13 billion tender offer for Systex

Taiwan Mobile has announced a tender offer to acquire a controlling stake in Systex, a leading IT service provider, for up to NT$29.13 billion. The offer, structured as a mix of cash and shares through its subsidiary Taixin Telecom, aims to acquire between 39% and 58% of Systex's shares. If successful, Taiwan Mobile's total ownership would range from approximately 50.86% to 69.86%.

Taiwan Mobile CEO Lin Chih-chen stated that the move aims to leverage three key synergies: cross-selling, AI integration, and regional expansion. By combining Taiwan Mobile's telecommunications, cloud, and data center resources with Systex's IT expertise and system integration capabilities, the company intends to target the enterprise AI market. The combined entity would possess a workforce of nearly 4,500 technical staff and 1,000 sales personnel.

The strategic goal is to capture a larger share of Taiwan's NT$659.6 billion IT service market, with a target of doubling their market share within five to six years. Additionally, the partnership seeks to accelerate expansion into Japan and Southeast Asia by investing in AI data centers and high-speed networks. The tender offer period runs from August 18 to October 6, subject to reaching the minimum threshold and approval from the Fair Trade Commission.
