Tata Sons AGM faces governance test amid Maharashtra Charity Commission probe

Tata Sons will hold its annual general meeting on August 18, with a key agenda item being the reappointment of chairman N. Chandrasekaran as a director for a second term ending in February 2027. The meeting gains added significance because the Maharashtra Charity Commissioner is conducting proceedings on the Sir Ratan Tata Trust (SRTT), one of the two trusts that together control about two‑thirds of Tata Sons. The regulator is examining whether the presence of permanent or life trustees on the SRTT board complies with the Maharashtra Public Trusts Act, raising questions about how the two trusts can jointly nominate a representative for the AGM quorum.

At the same time, the transfer of 3,368 Tata Sons shares owned by the late Ratan Tata to the Ratan Tata Endowment Foundation and Trust has been postponed. A complaint filed with the Charity Commissioner challenges a 1989 transaction that moved 833 shares from the Navajbai Ratan Tata Trust to Naval H. Tata, alleging violations of trust and company law. Executors of Ratan Tata’s will have deferred the transfer pending resolution. Tata Trusts reject the allegations, saying the transfer was lawful and approved with proper legal advice. The Charity Commissioner has asked Noel Tata, chairman of Tata Trusts, for detailed explanations and supporting documents.
