Tesla receives SEC approval for retail shareholder voting program
The U.S. Securities and Exchange Commission (SEC) has approved Tesla’s ‘Issuer Voluntary Retail Voting Program.’ This initiative allows retail shareholders to opt into a standing instruction that automatically casts their votes in alignment with the company’s board of directors' recommendations.
Under the program, participants can choose to have their shares vote on all matters or all matters excluding contested director elections and major structural changes like mergers or acquisitions. While investors retain the ability to override specific proposals or opt out at any time, the program is designed to increase participation rates among retail investors, who Tesla noted had significantly lower voting engagement compared to institutional investors in the 2025 proxy season.
The approval comes amid ongoing speculation regarding a potential merger between Tesla and SpaceX. Such a move would require shareholder approval, and the new voting mechanism could simplify the organizational process for securing the necessary votes. Robinhood CEO Vlad Tenev expressed support for the program, noting the company’s collaboration with Tesla to implement the initiative.
