Tesla seeks shareholder approval for board re-elections and Musk’s pay
Tesla has filed a proxy statement with the US Securities and Exchange Commission ahead of its annual shareholder meeting scheduled for December 3 at Gigafactory Texas and online. The meeting will include votes on the re-election of CEO Elon Musk, Chair Robyn Denholm, and director JB Straubel to three-year terms ending in 2029.
Shareholders will also participate in a non-binding advisory vote regarding Elon Musk’s reported 2025 compensation, estimated at approximately $158.36 billion. This figure consists entirely of stock awards, including the 2025 CEO Performance Award and an interim award granted in August 2025. The performance award is tied to specific market-capitalization milestones ranging from $2 trillion to $8.5 trillion, alongside operational targets.
Additionally, the meeting will include a vote to ratify PricewaterhouseCoopers (PwC) as Tesla’s auditor for 2026. Tesla’s board has advised shareholders to approve all proposed items.
