The Calmer Co Launches A$3.5 Million Entitlement Offer

The Calmer Co International Ltd (ASX:CCO) announced a renounceable entitlement offer to raise up to A$3.5 million. Eligible shareholders can subscribe for one new fully‑paid ordinary share for each share they hold at A$0.001 per share, a 50 % discount to the last traded price. For every two new shares issued, shareholders receive one free attaching new option with an exercise price of A$0.002, exercisable for 2.5 years.

The offer is partly underwritten by Mahe Capital Pty Ltd and includes a separate Top‑Up Offer that allows shareholders who have taken their full entitlement to apply for additional shares and options if any allocation remains. The entitlement and top‑up periods close at 5:00 pm AEST on 17 August 2026.

Proceeds are earmarked for repayment of secured convertible notes, expansion of inventory, entry into new markets, e‑commerce and marketing activities in Australia and the United States, new product launches and general working capital. Shareholders who do not participate may face dilution of roughly 50 % of their holdings, rising to about 60 % if all accompanying options are exercised.
