Thoma Bravo to take Accelerant private in $4 billion deal

Private equity firm Thoma Bravo has agreed to take the Atlanta-based insurance marketplace Accelerant private in an all-cash transaction valued at more than $4 billion. The deal comes just over a year after Accelerant’s listing in New York.

Under the terms of the agreement, Accelerant shareholders will receive $20.25 per share in cash, which represents a 49% premium over the company’s previous closing price. The transaction is expected to close in the first half of 2027, subject to pending insurance regulatory approvals. If the closing is delayed, shareholders will receive a ticking fee accruing at a rate of 6% per annum.

Accelerant, founded in 2018, utilizes data to connect niche underwriters with institutional investors. The move to go private is intended to allow the company to operate away from public market pressures following a period where its stock traded below its $21 initial public offering price. Altamont Capital Partners, Accelerant’s largest investor, and the company’s founders plan to retain equity ownership alongside Thoma Bravo.
