Toho Holdings faces legal challenge over poison pill tactic against 3D Investment Partners

Singapore-based hedge fund 3D Investment Partners has filed for a court injunction at the Tokyo District Court to block a takeover defense implemented by Japanese drug wholesaler Toho Holdings.

3D Investment Partners, currently holding a 24% stake, intends to increase its ownership to 27%. However, Toho has activated a ‘poison pill’ provision that would issue discriminatory warrants to dilute 3D's holdings if they reach that threshold. Toho argues that a 27% stake would allow the fund to exert significant influence over management and prioritize short-term gains. 3D Investment Partners disputes this, stating they have no intention of seeking management control and that the prerequisite for the defense—a threat to management control—does not exist.

The legal challenge could set a precedent for how Japanese companies use contingency-based poison pills against activist shareholders who are not seeking outright control. According to advisory firm IR Japan, a record 10 such measures were adopted in Japan last year.
