UniCredit takeover of Commerzbank receives preliminary ECB approval

The European Central Bank (ECB) has issued a preliminary assessment regarding UniCredit’s potential takeover of Commerzbank, stating there is ‘no reason to reject’ the move. This assessment comes despite concerns from the German financial regulator, BaFin, which has requested that UniCredit present a strategy to rebuild trust with management, employees, and political figures.

UniCredit currently holds nearly 50% of Commerzbank's capital following a stock swap offer that secured 48% of shares. To address local concerns, UniCredit CEO Andrea Orcel has indicated that Germany would become the group's primary country, with 95% of decisions being made locally.

While the ECB noted that the integration process will likely be ‘challenging and lengthy,’ the final regulatory review is expected to take place in September or October. Commerzbank recently reported a net profit of 1.8 billion euros for the first half of the year.
