UniCredit lifts earnings outlook amid push for control of Commerzbank

UniCredit reported record earnings for the first half of 2026, posting a net profit of about €6.3 billion and raising its 2026 profit guidance to well above €11 billion. The bank also upgraded its long‑term targets to more than €13 billion for 2028 and over €15 billion for 2030. The results were driven by strong core revenues, higher commission and insurance income, and a modest rise in interest‑margin earnings.

Following the successful share‑exchange that gave UniCredit roughly 48 % of Commerzbank, the group is moving the German bank from a financial investment to a strategic transaction. CEO Andrea Orcel said the aim is full operational control by the fourth quarter of 2026 or the first quarter of 2027, pending approval from the European Central Bank and German regulators. The stake is classified as a “strategic transaction” with a target RoAC of about 15 %.

Market reaction was mixed: Commerzbank shares fell about 5 % after the announcement, while UniCredit’s stock slipped around 2 % and the bank cancelled a €4.75 billion share‑buyback program, citing the higher expected return from the Commerzbank investment. The ECB is reviewing whether UniCredit may increase its holding, and German authorities have signalled no intent to block the merger, though they stress the need to protect the Mittelstand and employment.

Overall, the combined profit surge, higher guidance and the advancing Commerzbank takeover represent a major strategic shift for UniCredit and a significant development for the European banking sector.
