Trevi shareholders weigh Webuild cash offer against ICOP stock swap
Shareholders of the Italian underground engineering firm Trevi face two competing takeover proposals. Webuild has offered 4.50 euros in cash per share, providing a fixed value for investors.
In contrast, ICOP has submitted an improved proposal based on a stock swap. This model leaves the final value to Trevi shareholders dependent on the future market price of ICOP shares. Market analysts and advisors, including Mediobanca and Vitale, have raised concerns regarding the ICOP valuation. They note that ICOP's current market multiple is significantly higher than its competitors, suggesting the stock may be overvalued relative to its fundamentals. Advisors estimate a more appropriate exchange ratio would result in a lower implicit value for Trevi than both the ICOP offer and the Webuild cash offer.
