Webuild launches €295 million cash offer for Trevi Finanziaria Industriale
Italian construction group Webuild has announced a voluntary public cash tender offer to acquire Trevi Finanziaria Industriale. The offer proposes a cash payment of €4.50 per share, valuing Trevi at roughly €295 million and incorporating a 29.8 % premium over the closing price on 26 June 2026. A minimum acceptance threshold of 66.7 % of voting rights is required. Webuild, already holding about 5 % of Trevi’s shares, aims to integrate Trevi’s foundation and underground‑engineering expertise into its platform and to internalise high‑value activities currently outsourced. The company expects recurring annual EBITDA synergies of €80‑90 million and an overall EBITDA increase of €150‑170 million once synergies are realised. Webuild’s project portfolio is valued at approximately €54 billion. The offer is positioned against a rival proposal from ICOP, which proposes a share‑exchange transaction with a higher voting‑right threshold.
