Wendy's shares surge on potential takeover bid by Nelson Peltz
Shares of Wendy's rose significantly, climbing more than 14% and triggering a temporary trading halt, following reports that activist investor Nelson Peltz is preparing a bid to take the fast-food chain private.
According to reports from the Financial Times, Peltz's Trian Fund Management is assembling a consortium that could include BlueFive Capital and the Flynn Group, one of Wendy's largest franchisees. Trian and Peltz personally control a combined stake of more than 24% in the company. While a formal bid could arrive within weeks, the timeline remains uncertain.
Wendy's responded by stating it would thoroughly review any proposal submitted by Trian in accordance with its fiduciary duties. The potential takeover comes as the company faces operational challenges, including six consecutive quarters of declining same-store sales and increased competition from rivals like Burger King.
Peltz has a long history with the company, having previously explored a takeover in 2022. In a February regulatory filing, his firm characterized the stock as undervalued.
