Williams completes $5.5 billion acquisition of Momentum Midstream

Williams, a Tulsa-based natural gas supplier, has completed its acquisition of Momentum Midstream in a deal valued at approximately $5.5 billion. The transaction consists of roughly $2 billion in Williams’ equity and $3.5 billion in cash and debt consideration.

The acquisition significantly expands Williams’ infrastructure within the Haynesville basin, which is noted as the fastest-growing natural gas supply basin in the United States. The Momentum platform adds over 4,000 miles of pipeline, more than 1 million dedicated acres, 6 Bcf/d of gathering capacity, and multiple processing and treating facilities. It also includes three take-or-pay pipelines with a transportation capacity of 4.05 Bcf/d.

According to Williams CEO Chad Zamarin, the move establishes a premier position in the Haynesville to meet rising demand for liquefied natural gas (LNG), power, and industrial needs along the Gulf Coast. BofA Securities served as the lead financial advisor to Williams, with Truist Securities also providing advisory services.
