Winbond to acquire Infineon's NOR flash and FRAM business for $1.12 billion

Infineon Technologies has entered into a definitive agreement to sell its NOR flash and Ferroelectric RAM (FRAM) business units to Taiwan-based Winbond Electronics for $1.12 billion. The deal, which is expected to close in the second half of 2027 subject to regulatory approvals, targets markets in automotive, industrial, and infrastructure sectors.

Following the acquisition, Winbond plans to operate the acquired business as an independent entity headquartered in San Jose, California. The company will revive the “Spansion” brand name for this unit, a name previously associated with flash memory before it was absorbed by Cypress Semiconductor and subsequently Infineon.

Infineon stated that the divestment allows the company to focus its portfolio and capital allocation on core growth drivers, such as power semiconductors, AI data centers, and renewable energy. While selling the NOR and FRAM units, Infineon will continue to offer specialized memory products, including SRAM, HYPERRAM, and radiation-hardened memory.
