WISeKey to merge into WISeQey Corp and redomicile to British Virgin Islands

Swiss cybersecurity and digital identity group WISeKey International Holding Ltd has announced plans to redomicile from Switzerland to the British Virgin Islands through a merger with its subsidiary, WISeQey Corp. The merger is expected to become legally effective on October 2, 2026.

Following the merger, WISeKey will cease to exist as a separate legal entity, and WISeQey Corp will inherit all assets, rights, liabilities, and obligations. The company will change its name to WISeQey, with the 'Q' intended to symbolize a strategic focus on quantum technology.

October 2, 2026, is expected to be the final trading day for existing WISeKey American depositary shares on Nasdaq and Class B shares on the SIX Swiss Exchange. New WISeQey ordinary shares are scheduled to begin trading on or about October 5, 2026, under the ticker symbol 'WQEY' on both Nasdaq and the SIX Swiss Exchange.

Despite the change in legal domicile, the company stated that its operational headquarters and effective management will remain in Switzerland, and its global business operations are expected to continue without change.
