WWE Merger Lawsuit Settlement Reached for $105 Million

Shareholders' lawsuit over the 2023 WWE/TKO merger was settled in June 2026 after the trial scheduled for June 8 was cancelled. The parties reached an agreement in principle, with the overall settlement primarily funded by insurance recoveries. TKO disclosed in its second‑quarter 2026 results that WWE’s portion of the settlement totals $105 million, of which $75 million is expected from insurance and the remaining $30 million will be recorded as a loss.

The lawsuit alleged that the merger undervalued WWE and that Vince McMahon manipulated the sale to Endeavor for personal benefit, breaching fiduciary duties. Defendants named included Vince McMahon, Nick Khan, Paul Levesque (Triple H), George Barrios and Michelle Wilson. The settlement will be reviewed and approved by the court.
