Yapı Kredi sells portfolio to Azimut for 16.4 billion lira

Yapı Kredi Bankası announced that it has signed a share‑transfer agreement to sell its Yapı Kredi Portföy Yönetimi A.Ş. stake to AZ International Holdings, a subsidiary of the Azimut Group. The total transaction value is 16.4 billion Turkish lira. Payment terms include a cash component of up to 13.977 billion lira, a deferred component of up to 2.415 billion lira and a possible cash‑equivalent adjustment of up to 3.7 billion lira. The deal is expected to provide roughly $425 million in cash and to raise Yapı Kredi’s CET1 capital ratio by about 70 basis points.

Under the agreement, Yapı Kredi will retain a 15‑year exclusive distribution protocol, allowing the bank’s channels to continue marketing the portfolio’s investment products for the next decade. The share split being transferred consists of Yapı Kredi Bank’s 12.65 % holding in the portfolio and Yapı Kredi Yatırım Menkul Değerler’s 87.32 % holding. Completion is subject to regulatory approval and is slated for 2026. CEO Gökhan Erün described the transaction as a strategic milestone for the bank.
