Zillow Group faces ongoing investor class action after Supreme Court decline

The U.S. Supreme Court has declined to hear an appeal from Zillow Group Inc., allowing an investor class action lawsuit to proceed in federal court. The litigation concerns allegations that the real estate platform misled investors regarding the performance and risks of its home-flipping business, Zillow Offers.

Zillow Offers was shut down in 2021 after the company acknowledged difficulties in forecasting home prices, leading to a $300 million write-down and a workforce reduction of approximately 25%. Investors allege that executives made overly positive statements that prevented the stock price from falling before the business unit's failure was fully disclosed.

The Supreme Court's refusal to intervene leaves in place a lower court decision that certified the class action. While the denial does not establish liability or decide if Zillow violated securities laws, the case highlights legal debates surrounding “price-maintenance” claims, where plaintiffs argue that corporate statements were intended to stabilize rather than inflate stock prices.
