Akzo Nobel–Axalta merger moves forward
Overview
Akzo Nobel continued to reject Nippon Paint’s overtures, with the Japanese group proposing a €7.5 billion cash offer for the decorative‑paints unit on 13 July. The bid, valued at roughly 12 times the unit’s projected 2026 EBITDA, would give Nippon control of brands such as Dulux, but Akzo Nobel’s board reiterated its commitment to the already‑announced merger with U.S.‑based Axalta Coating Systems and noted that regulatory clearance remains required for any sale.
On 23 July, Akzo Nobel reported Q2 2026 results showing a 2 % organic sales rise, a 17 % increase in operating income to €251 million and an adjusted EBITDA of €398 million, lifting the margin to 15.4 %. The company reaffirmed its full‑year outlook and confirmed that the shareholder vote on the Axalta merger is scheduled for 5 August.
Axalta’s own Q2 release on 27 July highlighted record adjusted EBITDA of $305 million and projected full‑year 2026 EBITDA of $1.14‑$1.17 billion, reinforcing analysts’ estimate of €600 million in synergies and the premium nature of the Axalta offer versus Nippon Paint.
The pivotal shareholder meetings on 5 August saw overwhelming approval for the all‑stock merger. Akzo Nobel shareholders will own 55 % of the combined entity, receive a €2.5 billion one‑time dividend, and the merged company—projected to generate about €17 billion in annual revenue—remains subject to final regulatory approvals, with completion expected in late 2026 or early 2027.
