Allied Gold and Zijin Gold transaction restructuring

Overview

Allied Gold Corp. and Zijin Gold International terminated their acquisition agreement after determining that closing conditions were unlikely to be met by the July 29, 2026, deadline. The original takeover proposal valued Allied Gold at approximately US$5.5 billion.

In place of the full takeover, Zijin will execute a strategic private-placement investment of roughly US$295 million, acquiring approximately 12.8 million shares to secure a 9.2% ownership stake. This capital is intended to fund Allied Gold’s expansion projects in Mali, Ethiopia, and Côte d’Ivoire. The shift follows concerns raised by Chinese regulators regarding geopolitical risks and premiums associated with Allied Gold’s African assets.
