Azerbaijan Supreme Court legal rulings and clarifications

The Supreme Court of Azerbaijan has issued several rulings to clarify legal standards and mitigate risks in civil and commercial matters.

In one decision, the Court addressed the risks of interest-bearing lending. It warned that while private individuals may charge interest, systematic lending to multiple people for profit may be classified as a regulated financial activity requiring legal authorization. The Court advised that such agreements be formalized in writing with clear terms and supported by verifiable evidence, such as bank transfers.

In a subsequent ruling, the Court focused on ensuring judicial consistency regarding contract agreements. The decision emphasized that the legal nature of an agreement must be determined by its actual content and the nature of the obligations rather than its title. Specifically, the Court distinguished between contract agreements, which aim for a tangible or materializable result like construction or software development, and service agreements, which focus on performing activities that provide benefit without necessarily producing a material result.

A new Supreme Court decision further clarifies the legal nature of service contracts to prevent errors in determining the rights, obligations, and liabilities of parties. This ruling also outlines the legal consequences of failing to comply with the Law on Public Procurement.
