Overview
The Bulgarian National Assembly has passed amendments to gender equality legislation to mandate representation on corporate boards. The law requires that at least 33% of director positions on the management and supervisory boards of large public companies be held by the underrepresented gender.
To implement these changes, companies must submit corporate governance declarations regarding the gender composition of their governing bodies. The Financial Supervision Commission is tasked with publishing a list of companies that meet these targets by June 30, 2027. The legislation specifies that when candidates possess equal qualifications and professional results, preference must be given to the underrepresented gender.
Exemptions are provided for micro, small, and medium-sized enterprises. Failure to comply with the new regulations or provide accurate information may result in financial sanctions ranging from 2,000 to 20,000 euros.
